Employer Terms of Service

Last Updated: July 12, 2026

These Terms of Service ("Terms") govern your use of the Contractor Pros Connect platform as an employer. By creating an account, posting an assignment, or engaging contractors through our platform, you agree to be bound by these Terms. Please read them carefully.

1. Acceptance of Terms

By accessing or using the Contractor Pros Connect platform (the "Platform"), you confirm that you are at least 18 years old and authorized to enter into these Terms on behalf of your business. If you do not agree to any provision of these Terms, you may not access or use the Platform.

These Terms constitute a legally binding agreement between you ("Employer," "you," or "your") and Contractor Pros Connect ("we," "us," "our," or "the Company").

2. Independent Contractor Relationships

Contractor Pros Connect is a managed contractor marketplace that facilitates connections between businesses and independent contractors. The following principles govern all engagements made through our Platform:

  • Contractors engaged through the Platform are independent contractors, not employees of the Employer or of Contractor Pros Connect.
  • Nothing in these Terms or any engagement creates an employer-employee relationship, partnership, joint venture, or agency relationship.
  • Contractors are solely responsible for their own taxes, insurance, benefits, and compliance with applicable labor laws.
  • Employers do not direct or control the manner, means, or method by which contractors perform their work, except as specified in the agreed scope of work.
  • Each engagement is governed by a separate agreement or assignment terms that outline scope, deliverables, and compensation.

Contractor Pros Connect does not employ, supervise, or control contractors and assumes no liability for their acts or omissions beyond the scope of its managed services as described herein.

3. Contractor Pros Connect's Role as a Managed Contractor Marketplace

Contractor Pros Connect operates as a managed contractor marketplace. Our role includes:

  • Vetting and onboarding contractors through a structured application, compliance, and verification process
  • Maintaining compliance records, including W-9 forms, independent contractor agreements, and NDAs
  • Facilitating the matching of qualified contractors to employer assignments
  • Providing a platform for assignment management, communication, and milestone tracking
  • Processing payments between employers and contractors through our integrated billing system
  • Offering managed contractor services, including ongoing oversight for select engagements

While we strive to match employers with qualified, vetted contractors, we do not guarantee the quality, timeliness, or outcome of any contractor's work. Employers are responsible for reviewing contractor profiles, defining clear scopes of work, and communicating expectations.

4. Employer Responsibilities

As an employer using the Platform, you agree to:

  • Provide accurate and complete information about your business and assignments
  • Define clear, reasonable scopes of work, deliverables, timelines, and compensation for each assignment
  • Provide necessary access to tools, systems, and documentation required for contractors to perform their work
  • Communicate professionally and respond to contractor inquiries in a timely manner
  • Review and approve submitted work within a reasonable timeframe
  • Maintain the confidentiality of contractor information shared through the Platform
  • Refrain from requesting contractors to perform work outside the Platform's engagement framework
  • Comply with all applicable laws, regulations, and tax obligations related to engaging independent contractors
  • Not solicit or attempt to directly employ Platform contractors outside the established engagement and payment processes

5. Managed Contractor Services

Contractor Pros Connect offers managed contractor services for employers who require additional oversight and support. These services may include:

  • Dedicated contractor matching based on specialized skill requirements and industry experience
  • Assignment management with milestone tracking, quality review, and progress reporting
  • Replacement or reassignment of contractors if an engagement does not meet agreed expectations
  • Consolidated invoicing and payment management for multiple concurrent engagements
  • Compliance oversight, including document management and agreement enforcement
  • Access to managed talent pools, including specialized contractor teams such as our Philippines contractor network

The scope and availability of managed contractor services depend on the service package selected by the employer. Additional fees may apply for premium managed services.

6. Payment Responsibilities

Employers are responsible for timely payment of all fees associated with assignments and Platform services:

  • Assignment fees are determined by the agreed compensation rate and scope of work for each engagement.
  • For hourly engagements, payment is based on verified hours submitted by the contractor and approved by the employer.
  • For project-based engagements, payment is structured around milestones or deliverables as defined in the assignment terms.
  • A Platform service fee or assignment review and matching fee may apply to certain engagements and will be disclosed before assignment activation.
  • Payments are processed through the Platform's integrated billing system. Employers authorize charges to their designated payment method.
  • Disputed charges must be reported within 14 days of the invoice date. Undisputed charges are final.
  • Employers are responsible for any taxes applicable to their use of the Platform and services received.

Contractor Pros Connect reserves the right to suspend or terminate access to the Platform for accounts with outstanding balances.

7. Intellectual Property

Intellectual property rights are handled as follows:

  • The Platform, its branding, content, and software are the property of Contractor Pros Connect and are protected by intellectual property laws.
  • Employers retain all rights to their pre-existing intellectual property, including trademarks, documents, and materials provided to contractors.
  • Deliverables produced by contractors for an assignment are transferred to the employer upon full payment, unless otherwise specified in the assignment terms.
  • Contractors retain ownership of their pre-existing tools, methodologies, and know-how used in performing the work.
  • Employers grant contractors a limited license to use employer-provided materials solely for the purpose of completing the assigned work.
  • Unauthorized use, reproduction, or distribution of Platform content or other parties' intellectual property is strictly prohibited.

8. Confidentiality

Both parties acknowledge that in the course of using the Platform and engaging contractors, confidential information may be exchanged. Confidential information includes:

  • Business plans, financial information, customer data, and trade secrets
  • Assignment details, scopes of work, and compensation terms
  • Contractor profiles, credentials, and compliance documentation
  • Platform features, processes, and proprietary methodologies

Each party agrees to protect confidential information with the same degree of care it uses for its own confidential information and to use it solely for the purpose of the applicable engagement. Confidentiality obligations survive termination of the engagement and these Terms.

Contractors engaged through the Platform are required to sign non-disclosure agreements as part of their compliance onboarding. Employers may also require engagement-specific NDAs for sensitive assignments.

9. Acceptable Platform Use

Employers agree to use the Platform lawfully and responsibly. Prohibited conduct includes:

  • Posting false, misleading, or fraudulent assignment information
  • Discriminating against contractors based on protected characteristics
  • Harassing, threatening, or abusing contractors or Platform staff
  • Circumventing the Platform's payment or engagement processes to avoid fees
  • Uploading malware, viruses, or harmful code to the Platform
  • Scraping, copying, or reselling contractor data or Platform content
  • Using the Platform for illegal activities or in violation of applicable laws
  • Attempting to gain unauthorized access to Platform systems or data

Violation of these usage standards may result in account suspension or termination at our sole discretion.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Contractor Pros Connect provides the Platform on an "as is" and "as available" basis without warranties of any kind, express or implied.
  • We do not warrant that the Platform will be uninterrupted, error-free, or secure.
  • We are not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
  • Our total aggregate liability for any claim arising from these Terms or use of the Platform shall not exceed the total fees paid by the employer to Contractor Pros Connect in the three months preceding the claim.
  • We are not liable for the acts, omissions, or performance of contractors engaged through the Platform.
  • We are not liable for any data loss, business interruption, or loss of profits resulting from Platform use or unavailability.

11. Dispute Resolution

Any dispute, claim, or controversy arising from these Terms or use of the Platform shall be resolved as follows:

  • Informal Resolution: The parties shall first attempt to resolve the dispute through good-faith negotiations within 30 days of written notice.
  • Binding Arbitration: If the dispute is not resolved informally, it shall be submitted to final and binding arbitration administered under the American Arbitration Association rules in Austin, Texas.
  • Class Action Waiver: Both parties waive the right to participate in class or collective actions.
  • Injunctive Relief: Contractor Pros Connect may seek injunctive relief in a court of competent jurisdiction to protect its intellectual property or confidential information.
  • Assignment Disputes: Disputes between employers and contractors regarding specific assignments may be escalated to Contractor Pros Connect for mediation as part of our managed services.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Travis County, Texas.

13. Changes to These Terms

We may revise these Terms at any time. Updated Terms will be posted on this page with a revised "Last Updated" date. Material changes will be communicated via email or Platform notification. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
